PUBLIC CONTRACT WITH THE RECRUITER

Effective 12/01/ 2023.

This Public contract between HIRING&APPLY LLC (aka Hiring and apply, happ.jobs) and the Recruiter, both referred to as “Parties” (the “Public Contract”) defines the terms and conditions under which HIRING&APPLY LLC (aka Hiring and apply, happ.jobs) offers and the Recruiter agrees to use the HIRING&APPLY LLC (aka Hiring and apply, happ.jobs) Services, as described herein. This Public Contract is an integral part of and incorporates by reference the Terms of Use. The Public Contract is an addition to and, except where explicitly stated, does not supersede, replace, or limit other similar terms in the Terms of Use. Capitalized terms not defined herein are used in the meaning defined in the Terms of Use.

IN ORDER TO USE THE HIRING&APPLY LLC (aka Hiring and apply, happ.jobs) SERVICES, THE RECRUITER AGREES TO BE BOUND BY THESE CONTRACTUAL TERMS AND THE TERMS OF USE. IF THE RECRUITER DOES NOT ACCEPT THESE CONTRACTUAL TERMS, THE RECRUITER SHOULD NOT ACCESS OR USE ANY HIRING&APPLY LLC (aka Hiring and apply, happ.jobs) SERVICES.

The Recruiter agrees that the HIRING&APPLY LLC (aka Hiring and apply, happ.jobs) Services are provided on a paid basis. The Recruiter shall pay HIRING&APPLY LLC (aka Hiring and apply, happ.jobs) the Reward on the terms described in this Public Contract.

As described in the Term of Use, once the Service Contract has been accepted by the Candidate, even if the acceptance takes place within one (1) calendar year from the date of discovery of the Candidate's Profile Data, the Recruiter agrees to pay for the HIRING&APPLY LLC (aka Hiring and apply, happ.jobs) Services the Reward, which shall be calculated as a percentage from the income of the Candidate under the Service Contract.

The amount of the HIRING&APPLY LLC (aka Hiring and apply, happ.jobs) Reward is calculated as follows:

1. For the Service Contract concluded for more than one month: the Recruiter shall pay HIRING&APPLY LLC (aka Hiring and apply, happ.jobs) the Reward, which is 50 % of the cost of 160 hours of the Candidate Services provision under the Service Contract or the cost of the Candidate’s remuneration for the first month, whichever is applicable;
2. For the Service Contract concluded for less than one month: the Recruiter shall pay HIRING&APPLY LLC (aka Hiring and apply, happ.jobs) the Reward, which is 30 % of the cost of the Candidate's total remuneration under the Service Contract;
3. In the event that the Recruiter does not provide information on the cost of the Candidate Services under the Services Contract: HIRING&APPLY LLC (aka Hiring and apply, happ.jobs) shall have the right to request such information from the Candidate or invoice the Reward in the amount of 100 % of the cost of 160 hours of the Candidate Services provision based on the hourly rate specified in the Candidate Account at its own discretion.

The invoicing and payment procedure is as follows:

1. Based on the information provided by the Recruiter (or the Contractor) on the remuneration of the Candidate in the Service Contract, HIRING&APPLY LLC (aka Hiring and apply, happ.jobs) forms an invoice in accordance with terms of the Public Contract and sends it to the Recruiter’s email used by the Recruiter during registration;
2. HIRING&APPLY LLC (aka Hiring and apply, happ.jobs) sends the invoice to the Recruiter within five (5) days from the date of receipt of the notice of conclusion of the Service Contract;
3. The Recruiter shall pay the invoice within fifteen (15) days from the date of receipt of the invoice.

IN CASE OF VIOLATION OF THE TERMS OF PAYMENT FOR THE HIRING&APPLY LLC (aka Hiring and apply, happ.jobs) SERVICES, HIRING&APPLY LLC (aka Hiring and apply, happ.jobs) HAS THE RIGHT TO TEMPORARILY OR PERMANENTLY BLOCK THE RECRUITER'S ACCOUNT AND/OR STOP PROVIDING THE RECRUITER WITH THE SERVICES.

You understand and agree that HIRING&APPLY LLC (aka Hiring and apply, happ.jobs) is not a party to any Service Contract, is not involved in or responsible for any work performed or services provided by the Candidate, is not involved in or responsible for any payment made under the Service Contract, and has no control over any Candidate or the Recruiter. HIRING&APPLY LLC (aka Hiring and apply, happ.jobs) does not have any power or authority to, and does not determine any eligibility standards for any Service Contract, select or contract any Candidate to provide services to the Recruiter, determine or control any term or condition of the Service Contract or projects performed under it, or cause any Candidate or Recruiter to accept any Service Contract or perform any Candidate Services.

In order to improve the quality of the Services and to comply with legal requirements and respond to changing market conditions, this Public Contract may be amended by the Company unilaterally. The new version of the Public Contract comes into force from the moment of its publication at: https://happ.jobs/.

We will make reasonable efforts to inform you in advance of any material changes, but it is your responsibility to review this Public Contract from time to time and keep yourself updated. Your further use of the Services after any changes and (or) additions to the Public Contract are made shall constitute your consent to such changes and (or) additions.

IF THE RECRUITER REFUSES TO ACCEPT CHANGES TO THE PUBLIC CONTRACT, THE RECRUITER SHOULD NOT USE THE PLATFORM AND SERVICES. THE RECRUITER UNDERTAKES TO SUBMIT ITS REQUEST TO DELETE ITS ACCOUNT AND TERMINATE ITS USE OF THE PLATFORM.
